CONTEST OFFICIAL RULES OF ENTRY

No Purchase Necessary. Purchase of any Xyla Entertainment product will not increase your chances of winning this contest. There is no cost to enter or win this contest.

Competition Description. The “Xyla Entertainment- Win an iPad Sweepstakes” (herein “Contest”) is sponsored by Xyla Entertainment, LLC, a Trenton, New Jersey limited liability company (“Xyla”). The Contest begins on 17:00 PM Pacific Time ("PT") on July 11th, 2012 and ends at 19:00 PM PT on July 15th , 2012 (“Contest Period”). All entries must be received by Xyla by the end of the Contest Period to be eligible. At the end of the Contest Period Xyla will randomly draw a winner from the entrants, as detailed in the Submission Guidelines below. Entry in this competition does not constitute entry in any other competition, sweepstakes, or other promotion. By submitting your entry to Xyla, each entrant unconditionally accepts and agrees to comply with these Official Rules of Entry and the decision of Xyla.

Eligibility. This Contest is open solely to residents of the United States (excluding the states of North Dakota, Vermont, Nevada, Connecticut, and Maryland) who are over the age of majority in the country in which they reside (18 in most countries). Entrants who are under the age of 18 but are over the age of 13 and residents of the United States may still enter if the entry is submitted by mail and includes a signed, written statement by a parent or legal guardian confirming that the parent or guardian has read and fully understands these Official Rules of Entry (“Parental Permission Letter”). To be eligible to win a prize, entries must comply with additional rules stated in the Submission Guidelines set forth below.

Directors, officers and employees of Xyla, its parent, and any of their respective affiliate companies, subsidiaries, agents, professional advisors, advertising and promotional agencies, and immediate families of each are not eligible to win any prizes. All applicable federal, state and local laws and regulations apply. This offer and Contest are void where prohibited. In the event of any dispute, entries will be deemed to have been submitted by the owner of the e-mail address from which the e-mail was sent. If the identity of the individual who actually submitted an entry cannot be resolved to Xyla's satisfaction, the affected entry will be deemed ineligible.

Submission Guidelines. This Contest is designed to introduce you MyXyla.com and Xyla's products and services. To enter, register to become a myXYLA member. Follow the on-screen directions accept to enter. (“Online Entry”). Entrants must complete all required information. All other entries may be mailed to the following address:

Please remember that all entries submitted by United States residents between the ages of 13-18 must be submitted by mail and must be accompanied by a Parental Permission Letter.

Each entry must be made by the entrant and by the means specified. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including but not limited to commercial sweepstakes or contest subscription notification and/or entering service sites, will be declared invalid and disqualified from this Contest. Tampering with the entry process or the operation of the Contest, including but not limited to the use of any device to automate the entry process, is prohibited. Any entries deemed by Xyla, at its sole discretion, to have been submitted in this manner will be void.

Drawing. Approximately one week after the submission deadline, Xyla will randomly select one entrant from all eligble submissions as the winner.

Disclaimer. Xyla will not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of the entries in the Contest. Xyla assumes no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.

Privacy. Xyla respects the privacy of its entrants and customers. The protection of entrant and customer information is therefore a priority.

Information Collected. Xyla collects the name, e-mail address, mailing address, and in certain cases age (to determine age of majority/minority) voluntarily submitted by Contest entrants (“Personal Information”). We may also collect data through mechanisms that collect website analytics, site usage, browser types, IP addresses, etc. (“Non-identifiable Information”).

Information Usage. Personal Information collected in connection with this Contest will not be used, purchased, sold or shared with any advertiser, purchaser, or third party except as necessary to determine the Contest winner and deliver prizes to Contest winners.

Prizes. One entrant will win the following prizes: One (1) brand new 16 GB Apple iPad, with an approximate retail value of $499.00 USD. All prizes will be awarded. Contest winner may be required to execute an affidavit of eligibility before they can receive their prize. Prizes returned as undeliverable or not claimed within thirty (30) days after delivery of notification to the winner will be forfeited and awarded to an alternate winner. Prizes are not transferable. No substitutions or exchanges (including for cash) of any prizes will be permitted, except that Xyla may substitute a prize of equal or greater value for any other prize. Limit one prize per household or address. All prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

Winner Notification. The Contest winner will be notified by e-mail to the e-mail address provided by the winning entrant and addressed to the winning entrant after the winner is selected. Prizes will not be distributed until the winning entrant has confirmed receipt of the notification and has signed and returned any documentation requested by Xyla, including an affidavit of eligibility if required. The winner's first name and the first initial of their surname will also be listed on the Xyla website at MyXYLA.com and Xyla's social media pages (such as Facebook, etc.).

Dispute Resolution. Entrants agree to follow the Official Rules of Entry’s dispute resolution policy as set forth below in connection with any potential claims or disputes arising from these rules or entrant’s participation in the Contest.

Informal Negotiations. Parties to a dispute concerning these Official Rules of Entry or the Contest itself will attempt to informally negotiate a potential settlement or resolution to the dispute;

Online Arbitration. In the event that informal negotiations are unsuccessful, the parties agree to follow the American Arbitration Association’s online arbitration procedures to resolve the dispute.

Binding Arbitration. If for any reason online arbitration is unsuccessful or unavailable to the parties, parties agree to submit to binding arbitration in the jurisdiction of Trenton, New Jersey.

Miscellaneous Provisions. Compliance with Entrant’s domiciliary laws. Entry in this Contest from any location in the world is made pursuant to the entrant’s own risk. Entrants are responsible for the compliance of each entrant’s own jurisdiction’s laws and regulations.

Jurisdiction and Choice of Law. The validity, interpretation, and performance of these Official Rules of Entry are governed and controlled by the laws and regulations of the State of New Jersey. In the event of a dispute you agree to submit to the personal and exclusive jurisdiction of Trenton, New Jersey

Severability. If any portion of these Official Rules of Entry is found invalid by any competent Court of Law, the invalidity will not affect other provisions or applications of these Official Rules of Entry which can be given effect without the invalid portion.
